OC Business Ethics

Business Ethics is the standard of doing business involving production and distribution of goods, and providing of services in order to receive a reasonable return on investment that is fair to all parties, whether they are producers or consumers.  Business owners, shareholders, executives, co-workers, service providers, governments, society, are the participants who all have a common business relationship conformable to business ethics.

The main objective of Business ethics is to ensure that there is a consistent moral attitude within the organization. It ensures that everyone, from management level to new employees, is equally treated with respect, fairness and honesty. The most important aspect of business ethics is to help the business operate within the bounds of the law and to ensure that everyone in the organization will not commit crimes or create trouble for employees, customers, small and large consumers or other persons.

 

As a copper manufacturer, other specific part of Oriental Copper’s commitment to comply with regulations and upholding human rights is ensuring that our products do not have “Conflict Minerals” – metals (tantalum, tin, tungsten and gold) that originate from and contribute to conflict in the Democratic Republic of the Congo (DRC) and surrounding countries. We require suppliers of these metal-containing components to source their metal only from non-conflicting sources and communicate this requirement to all parts of the supply chain to ensure that they are properly procured.

2. Code of Conduct

3. Employees Practice

3.8 Employees are not allowed to give, promise to give, solicit or accept bribes nor any form of improper advantage, whether directly or indirectly, to or from any individual or organization with the intention to obtain or retain business in return.

4. Business confidentiality

4.1 Intellectual property protection
4.1.1 Results or results of operations during the employment including research, analysis, and consequences, such as awards, certificates, patents, software, etc. are the property of the Company.
4.1.2 Employees are strictly prohibited to disclose information about the Company including, financial status manufacturing processes, formulation or manufacturing techniques, the type or nature of the product, or any matter or information including personnel information to third parties, or to the public.

4.2 Employees cannot be employed by partners or business competitors of another Company while employed by the Company and within 3 years after termination of employment.

4.3 Employees must protect the confidentiality of the Company’s customers including, business activities, suppliers and related businesses, and at all times maintain the trust of customers. If an employee fails to comply and cause damages to the Company in business opportunities, creditability, prestige and reputation, both directly and/or indirectly; an employee shall be sued by the Company with both civil and criminal litigation.

5. Security awareness

5.1 Workplace
5.1.1 Employees must work in their designated area.
5.1.2 Employees shall not permit any third party who does not have related work to enter into their responsible areas.
5.1.3 Prior approval is required to pass through other areas of work, employees must also show the identification cards and declare the purpose in order to get approval.
5.1.4 Responsible employees of each work area must close and lock all doors and windows before leaving their work area and may not leave other persons working in that area.
5.1.5 All employees must allow security staff to make a physical search and an inspection of their vehicle before leaving the company’s premises.

5.2 Information Systems
5.2.1 Employees will use only their own usernames, and passwords assigned by the Company when working on the Company’s Information Systems.
5.2.2 Employees will not disclose their usernames and passwords to anyone else and will not allow others to use their usernames and passwords to login to the Company’s Information System.
5.2.3 If the employee’s username and password has been disclosed for any reason, employees must notify their superior’s and the MIS department to cancel the existing usernames and passwords and request new usernames and passwords.
5.2.4 Upon completion of work on the information system, employees must logout from the system.
5.2.5 In the case of an employee defecting errors in the system, employees shall not attempt to modify the system by themselves. Employees must notify their superiors and request the concerned parties to resolve the issues.
5.2.6 Employees will not attempt to access an un-related database to their duty.
5.2.7 Employees will not disclose any information to colleagues and outsiders who are not directly involved with the information unless consent is given by the immediate supervisor.

Oriental Copper Statement on Conflict Minerals

In August 2012, the United States Securities and Exchange Commission (SEC) approved the final rule regarding the sourcing of conflict minerals as defined in the Dodd-Frank Wall Street Reform and Consumer Protection Act, Section 1502. Under this rule, publicly traded companies must report annually to the SEC the presence of “conflict minerals” originating from Central Africa in either the products they manufacture or contract to manufacture, or use in the production process. Oriental Copper supports the efforts of human rights organizations to end violence and atrocities in Central Africa (the Democratic Republic of Congo (DRC) and nine adjoining countries: Republic of Congo, Central Africa Republic, South Sudan, Zambia, Angola, Tanzania, Burundi, Rwanda and Uganda) reported that the major driver of this violence is the natural abundance of the minerals tin, tungsten, tantalum and gold, now referred to as “conflict minerals.” Armed groups fight for control of mines in this region and use forced labor to mine and sell the minerals, which in turn funds ongoing violence. While we do not source these metals directly, they may exist in the materials and components we source. We are therefore committed to working with suppliers to responsibly source the materials and components we use in manufacturing our customers’ products which may contain these minerals. To comply with the SEC reporting regulations relating to conflict minerals, Oriental Copper requires chain of custody declarations from our suppliers to verify the origin of the conflict minerals contained in their products.

In addition, we require the following from our suppliers:
– to source materials from socially responsible sub-tier suppliers and manufacturers
– to assist us to comply with the SEC regulations related to conflict minerals and to provide all necessary declarations
– to source 3TGs from smelters validated by an independent third party audit
– to undertake reasonable due diligence within their supply chain to determine the origin of the conflict minerals, including developing policies and management systems preventing the use of conflict minerals or derivative metals sourced from mines that directly or indirectly finance armed groups through mining or mineral trading in the DRC or any adjoining country, and to pass these requirements along to their sub-tier suppliers and require them to do the same with lower tiers of suppliers.

1 Fair conduct  

    Guidelines to treat all stakeholders with responsibility are provided in the Company’s code of conduct.

    Stakeholders include shareholders, employees, customers, trading partners, creditors, competitors,

    as well as local communities, wider society, the environment and government agencies.

    The Company’s code of conduct also embraces the principles of free competition,

    the prevention of conflicts of interest and infringements of intellectual property rights, and anti-corruption.

   Our business will ensure fair business transactions, to abide by all applicable laws, rules and regulations, and to prevent extortion, bribery                                                                 

   and all other forms of corrupt business practices by ensure that all its business operations are fair and legitimate.

   2.1 OC has a policy to provide fair remuneration, enhance job security and promote career paths for all employees.

   2.2 OC provides all necessary employee welfare benefits as required by law, such as social security benefits.

         Also offered are extra welfare benefits other than those required by law, such as health and accident insurance,

         financial contributions towards the funeral costs of employee’s parents, and scholarships for the children of employees.

3 Know-how improvement and training             

OC promotes HR development by encouraging all employees to improve upon their knowledge, and enhance their ability,

potential, attitude, morals and ethics, and embrace the spirit of teamwork.           

   3.1 All employees are offered opportunities for career prospects, with training courses provided to employees at all levels

1 We regard the quality and standard of the products as essential by focusing on high quality raw materials, production under good standard  

   and regular improvement of product quality so that the customers shall get good quality and with utmost satisfaction.         

2 We regard product safety as essential and wants the customers to receive the products of quality and safety that/ matches relevant specification,  

   requirements and international standards and rules.   

3 We respect fair marketing by providing customers the information relating to the products which is correct, undistorted, not vague or not overstated  

   so that the customers get correct and sufficient information for making decision.

4 We provide customer relationship scheme to communicate with customers and to receive complaints regarding the products so as to respond         

   to the customers’ need in due time.

5 We keeps confidential the customers’ information and does not use the information illegitimately.

           

Anti-corruption

1 OC manages its business on the basis of transparency and ethics and complies with the policy and laws related to anti-corruption,      

   bribery and inappropriate benefits to government officials or private sectors.           

2 OC prescribes the organization structure by clearly dividing duties, responsibility, work process and line of command in each division in order to            

   facilitate the balance of power and intra-audit.           

3 OC provides the Manual on Anti-Corruption which compiles policies, ethics, regulations, rules and work processes for the directors,  

   executives and staff to implement.     

                       

Environment Protection

OC has an environmental management system in accordance with ISO 14001 standards, based on the following principles:                 

1 We emphasize on caretaking of environment and avoidance of jeopardizing environment.

2 We manage the manufacturing process to ensure that it strictly complies with the law, rule relating to environment protection.

3 We develop manufacturing process and selects materials which are nature and environment friendly;

   sets precautionary measures for any operation which contains risks relating to environment.

4 We utilizes resources and energy efficiently by way of reduce-reuse-recycle as much as possible

and manages the waste from production process responsibly.

 

Community and Social Development                      

OC are well aware of our responsibility to community and society in order to foster the strength of community. We, therefore, has a policy to assist and develop the society                  

by cooperating with communities around the operating areas in various activities, as follows:                

1 Providing jobs to local people.

2 Preserve a budget to make monetary donations. These donations will aim to education, religious donation, community events and etc.          

   For example, constructing public buildings, providing scholarships to local schools, and supporting nonprofit organizations.

   It can provide support to nonprofit organizations or movements to promote cultural and economic development of global and local communities      

3 Encourage our employees to volunteer. They can volunteer through programs organized internally or externally.      

4 Promote participation of the community and stakeholders by opening for listening their advices and supporting their quality living.           

5 Be transparent in disclosing any information arising from the company’s operations that may negatively impact the community,  

   and respond promptly and effectively to situations that affect the community, society, and the environment.

           

Promotion of Innovation that responds to corporate social responsibility            

Oriental Copper encourages its employees to create innovation which would respond to the corporate social responsibility policy, e.g. saving natural resource and energy,                

waste management, control of waste discharge, etc. Such innovation aimed to generate more efficiency or effectiveness may vary by different types, including novelty,           

improvement, adjustment, modification or alteration. The Company is willing to disseminate the innovation that would be useful to society and environment in appropriate ways.                 

1 OC has been fully concerning with “Green Innovation”, we recognize the value and importance of non-renewable resources, as well as the importance            

   of environmental conservation and social responsibility. Therefore, resources preservation is one of the important policy imposed to underline            

   the Company’s strong commitment to efficiently using our resources in its operations and manufacturing activities which are considered as “Process Innovation”      

2 We also emphasize energy saving practices by adopting innovation and efficient management systems, such as using solar energy in our power generation business.    

3 Not only “Process Innovation” but also owing to our president’s foresight vision, we had also dedicated our attempt to do our research and development            

   to create our new “Product Innovation” to help conserve energy for our customers and also for our global environment.

   Our innovation has been introduced to our customers and known as:

   “Twist Bar Innovation” for switchboard application

   “ Profile Bar and Non-Weld Edgewise Elbow Innovation” for busduct application

 

Response to remediation in the case of child labor detection                  

OC will not engage in or support the use of child labor for individuals under the age of 18, in accordance with Clause 2 on Human Rights, to ensure that labor is used legally.             

To comply with the protection of minors, the response to the detection of child labor includes all relevant stakeholders, such as subcontractors or OC’s clients.                        

This also aims to establish procedures and principles for remediation plans when child labor is detected, with the following course of action:           

1 Immediately suspend work and remove the child from the production area to a safe location.

2 Contact the child’s guardian and explain OC’s child labor policy.

3 Pay compensation as required by law.

4 Promote and support the child’s access to education at least up to the compulsory education level.

5 Promote and support the family to have sufficient income for their livelihood, such as allowing an adult family member to work on the production line

   or permitting the family to open a shop within the company’s premises.

6 Once the employee reaches adulthood, OC will immediately offer employment opportunities.       

 

OC will actively invest in R&D and also be open to suggestions and listen carefully to ideas and use them as an initiative for our company strategy
